OSAT And Analog Chip Giants Unite: Sunway Will Acquire ADI's Penticton Manufacturing Plant

Recently, Aden Semiconductor (ADI) and Sunway Light announced that they have entered into a strategic partnership and signed a legally binding Memorandum of Understanding (MOU). Sunway Light plans to acquire the manufacturing plant of ADI in Penang, Malaysia, in order to enhance global supply chain resilience and manufacturing diversity. Additionally, the two companies will strengthen their cooperation through joint investment and long-term supply agreements.

Specifically regarding the details of the cooperation, Sunway Light will acquire 100% of the equity of Analog Devices Sdn. Bhd., including its manufacturing facility in Penang (subject to the final signed transaction documents). Furthermore, ADI and Sunway Light plan to sign a long-term supply agreement, under which Sunway Light will provide manufacturing services for ADI, and ADI plans to jointly invest with Sunway Light to enhance the technical capabilities of the Penang factory.

Both parties expect to sign the final agreement in the fourth quarter of 2025, and the transaction is expected to be completed in the first half of 2026, although it still needs to comply with or be exempted from the general transaction conditions specified in the final transaction documents and obtain the necessary regulatory approvals. After the transaction is completed, Sunway Light will take over the operation and further develop the Penang factory to support ADI and other customers.

ADI is a global leader in analog ICs, with the second-largest market share globally. The ADI Penang factory was established in 1994 and is located in the main industrial hub of Bayan Lepas, with a building area of over 680,000 square feet.

Sunway Light's Chief Operating Officer Wu Tianyu said that the acquisition of the ADI Penang factory will expand Sunway Light's global manufacturing capacity, achieve higher operational flexibility and scale. This acquisition will continue to strengthen the cooperation between the two companies, provide excellent packaging and testing solutions for ADI's high-performance analog, mixed-signal, and digital signal processing chips, and welcome the ADI Penang team to join Sunway Light, and look forward to combining the advantages of both companies to drive future growth and innovation.
